IMPORTANT LEGAL AGREEMENT – READ CAREFULLY

This Licensing Agreement ("Agreement") is a binding legal contract between Stars and Stripes Marketing Services, LLC, doing business as Kingdom Curriculum™ ("Licensor"), and the gym owner, gym operator, or authorized representative accepting this Agreement ("Licensee").

By purchasing, accessing, downloading, printing, or using any portion of the Kingdom Curriculum™, Licensee expressly agrees to be bound by all terms of this Agreement. If Licensee does not agree, Licensee must not use the curriculum in any form.

30-Day Box Refund Policy

Licensor offers a 30-day money-back guarantee on the initial purchase of the Kingdom Curriculum™ box.

To qualify for a refund:

• The return must be shipped within thirty (30) days of delivery
• Licensee must notify Licensor prior to return
• All materials must be returned in original condition
• Licensee is solely responsible for all return shipping costs

Once the returned materials are received and verified, a refund for the initial box purchase will be issued.

No refunds will be granted for any return that is shipped after the thirty (30) day period, regardless of request timing.

1. Grant of Limited License

Licensor grants Licensee a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Kingdom Curriculum™ solely within Licensee’s physical gym location(s) for internal recreational instruction, only while Licensee remains current on all required payments.

This license does not constitute a sale. All rights, title, and interest in and to the Kingdom Curriculum™ remain exclusively with Licensor.

2. License Fee, Billing, and No Refund Policy

• Licensee agrees to pay a licensing fee of $98 per month, billed automatically on a recurring basis.

• Licensee may cancel the monthly licensing subscription at any time. Upon cancellation, Licensee must immediately cease use of all Kingdom Curriculum™ materials as outlined in this Agreement.

Monthly Licensing Fees

All monthly licensing fees are non-refundable, including partial months, unused time, or discontinued use.

Licensee authorizes Licensor to charge the provided payment method on a recurring basis.

Failure to process payment for any reason shall constitute a payment default. Licensee shall be provided a thirty (30) day grace period to cure such default. During the grace period, Licensor may suspend access to materials or services. If payment is not cured within thirty (30) days, the license shall automatically terminate without further notice.

3. Term, Cancellation, and Immediate Cessation of Use

This Agreement is effective on a month-to-month basis beginning upon activation.

Licensee may cancel at any time; however, upon cancellation or expiration of the applicable grace period following non-payment, Licensee must immediately and permanently cease all use of the Kingdom Curriculum™, including but not limited to:

• Achievement Maps

• Stickers and certificates

• Skill legends and progress charts

• Training videos and digital content

• Curriculum structure, progression systems, and methodologies

Continued use after termination constitutes willful infringement.

4. Authorized Printing and Use Restrictions

Licensee may print only those materials expressly authorized by Licensor and solely for internal use during the active license term.

Licensee may not:

• Share, sell, distribute, or sublicense materials

• Use materials across unaffiliated gyms or locations

• Upload materials to public or shared platforms

5. Intellectual Property Ownership and Character Protections

All curriculum content, artwork, characters, mascots, illustrations, layouts, progress systems, visual language, naming conventions, and conceptual frameworks are the exclusive intellectual property of Stars and Stripes Marketing Services, LLC, d/b/a Kingdom Curriculum™.

Licensee is strictly prohibited from:

• Creating derivative works or modified versions

• Redrawing, recreating, or commissioning new versions of any Kingdom Curriculum™ characters or artwork

• Using characters or curriculum elements outside the scope of this license

• Incorporating Kingdom Curriculum™ concepts into other programs, branding, or merchandise

These restrictions survive termination of this Agreement.

6. Prohibition on Copying, Imitation, or Competitive Use

Licensee acknowledges that the Kingdom Curriculum™ represents a proprietary system.

Upon termination for any reason, Licensee agrees not to implement, continue, or develop any curriculum, program, or system that is substantially similar, confusingly similar, or reasonably construed as derived from the Kingdom Curriculum™, whether in whole or in part.

Licensor retains sole discretion to determine whether a program violates this provision.

7. Assumption of Risk, Release of Liability, and Safety Responsibility

Licensee acknowledges and understands that gymnastics and related athletic instruction inherently involve physical activity, height, momentum, equipment use, and interaction with other participants, all of which carry risks of injury ranging from minor to severe, including permanent injury or death.

Licensee represents and warrants that it is solely responsible for:

• Determining the qualifications, health, and readiness of its students to participate in gymnastics activities

• Maintaining safe facilities, equipment, and instructional environments

• Properly training, supervising, and certifying its coaches and staff

• Implementing appropriate safety policies, emergency procedures, and waivers for students and families

Licensee further acknowledges that the Kingdom Curriculum™ is an instructional framework and motivational system, not a safety program, medical program, or substitute for professional training, supervision, or risk management practices.

In consideration for being granted a license to use the Kingdom Curriculum™, Licensee knowingly and voluntarily assumes all risks associated with the operation of its gymnastics programs and the use of the curriculum, whether such risks are known or unknown, foreseeable or unforeseeable, and whether arising from the actions or inactions of Licensee, its staff, participants, or third parties.

Licensee hereby releases, waives, discharges, and covenants not to sue Licensor, including Stars and Stripes Marketing Services, LLC, d/b/a Kingdom Curriculum™, and its owners, officers, directors, employees, contractors, agents, and affiliates (collectively, the "Released Parties"), from any and all claims, demands, causes of action, damages, losses, costs, or liabilities of any kind arising out of or related to:

• Licensee’s use or implementation of the Kingdom Curriculum™

• Injuries, illness, or damages suffered by students, staff, or third parties

• Alleged failures in instruction, supervision, or program design

This release applies even if such claims are alleged to arise from the negligence of the Released Parties, to the fullest extent permitted by law.

8. Indemnification

Licensee agrees to defend, indemnify, and hold harmless Licensor and its owners, officers, employees, contractors, and affiliates from any and all claims, damages, liabilities, costs, and expenses arising from:

• Use or misuse of the Kingdom Curriculum™

• Injuries to students, staff, or third parties

• Breach of this Agreement

9. Disclaimer of Warranties

The Kingdom Curriculum™ is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose, or guaranteed results.

10. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.

​

11. Enforcement, Remedies, and Injunctive Relief

Licensor reserves the right to immediately terminate access, revoke licenses, and pursue all legal and equitable remedies, including injunctive relief, to prevent unauthorized use or infringement.

12. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Venue shall lie exclusively in Florida courts.

13. Entire Agreement and Modifications

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. No modification shall be valid unless in writing and authorized by Licensor.

14. Acceptance

By subscribing to, accessing, or using the Kingdom Curriculum™, Licensee affirms that they have read, understood, and agreed to be legally bound by this Agreement.
